Tax & Structuring

Company structuring across borders

Understand how incorporation, management, ownership and operations can create different legal and tax connections.

A dense city skyline in warm evening light, with the Empire State Building at the centre

Where a company is registered and where it is actually managed are not always the same question.

This page is for founders and owners who need the questions in order: the legal entity, the people who decide, the place the business operates, and the reports that follow. It does not recommend a country, a holding company or an offshore arrangement.

Personal tax on the income is on international taxation. Who can take over is on succession.

For entrepreneurs — company structure, banking, hiring and founder mobility in one place.

The entity

A company is a legal person with its own connections

Shareholders own it. Directors manage it. The company itself may enter contracts, employ people and hold a bank account. Each of those facts can point at a country. Separating them is the start of the analysis. Combining them into “we set up a company there” is how the analysis gets skipped.

Formation

Incorporation records a place. It does not finish the tax question

Filing to create a company, a registered office and a local register entry are administrative facts. They matter. They are not the same as tax residence, and they are not a description of where the business is carried on. Comparing formation processes is a different task from choosing a tax outcome. The provider comparison further down this page is not a recommendation, and it does not set a tax outcome.

Company formation is an administrative act. Tax residence can depend on where decisions are actually made.

Directors

Directors are a legal role and a factual one

The register shows who is appointed. The tax question often asks where those people actually decide. A director who is resident in a country, or a board that always meets there, can be relevant both to the company’s residence and to that person’s own tax position. Nominee directors, where they are used, need a clear explanation of who instructs them. An unexplained nominee is a reason to stop and ask.

Shareholders

Shareholders own. They do not automatically manage

Economic ownership can sit with one person while day-to-day control sits with directors. A shareholders’ agreement can change who must approve a sale, a dividend or a new share issue. Dividends, when paid, can be taxed on the shareholder in a way that is separate from the company’s own tax. Withholding on the way out is a further question, covered conceptually under international taxation.

Beneficial ownership

The person who ultimately owns or controls may have to be named

Legal title to shares can sit with a nominee, a holding company or a trust. Beneficial ownership asks who is behind that. Registers, banks and tax forms may all ask the question, and they may not define it identically. Confusing the shareholder of record with the beneficial owner is a common source of a file that does not match.

Company residence

A company can be tax resident where it is managed

Rules differ. Some countries treat a company as resident where it is incorporated. Some look at where central management and control sit. Some use both. A company incorporated in one place and run from a kitchen, a laptop or a board meeting somewhere else may be looked at in more than one country. This page does not apply a named country’s test.

    Potential tax connections

Read down the row, or across it on a wide screen. Each box is a fact that can create a tax connection. The last box is the question those facts raise. It is not a list of taxes due.

Control

Management and control are about decisions, not letterhead

Where the board meets, who prepares the decisions, and whether a founder abroad is the person who actually decides can all be relevant. Minutes that record a meeting in one place, while the decisions were taken in another, are a poor record. Substance — people, premises and real activity — is something tax authorities and banks may both ask about. It is not created by a registered office alone.

Presence

Permanent establishment asks whether the business is taxable somewhere it is not resident

A fixed place of business, or a person who habitually concludes contracts, are the kinds of facts the concept is built from. Employees, a home office or a pattern of sales into a country can be relevant, depending on the law and any treaty. Ask the question. Do not assume a short visit is irrelevant, and do not assume it creates a presence. Treaty interaction, where a treaty exists, is discussed on double-tax treaties.

Shape

A branch and a subsidiary are different legal facts

The comparison below is structural. It is not a recommendation to use either shape, and it is not a tax calculation.

What it is

Branch. The same legal entity, operating in another country.

Subsidiary. A separate legal entity, owned by a parent.

Contracts

Branch. Often in the name of the home company.

Subsidiary. In the name of the local company.

Tax connection

Branch. Can raise a taxable-presence question for the home company.

Subsidiary. The local company is usually taxed where it is resident or active. The parent can still have its own questions.

People

Branch. Staff may still create a presence for the foreign company.

Subsidiary. Local employment sits with the subsidiary, and can still affect the parent.

Holding companies

A holding company is a shareholder. It is not a tax result

A company that owns other companies can make ownership clearer, and it can add a residence, a set of accounts and a beneficial-ownership question of its own. Dividends and other payments between companies may be taxed, withheld or reported depending on the countries and any treaty. Nothing on this page suggests that inserting a holding company reduces tax.

Banking

The bank will ask who owns the company and where the money comes from

Business accounts, cards and cross-border payments are practical, and they are also a source of questions about beneficial ownership and substance. Business banking covers the account. It does not choose a structure.

People

Employees can create payroll, and sometimes a taxable presence

Where people work, who employs them, and whether wage tax or social contributions arise are local. A founder working from a new country is both a personal-residence fact and a possible company fact. VAT or GST, where a supply is treated as made, is a further specialist question. This page names it so it is not forgotten. It does not apply a registration threshold.

The founder

When the founder moves, the company file should be reopened

Personal tax residence, where board decisions now happen, whether customers are still served from the old country, and whether a departure filing is due for the individual are four conversations. Doing them as one conversation is how a company is treated as if it had moved, or as if it had not, without anyone checking.

Reporting

Companies create filings even when the plan is simple

Accounts, tax returns, beneficial-ownership registers and, for the shareholder, a possible report of a foreign company are separate obligations. They can exist in a year when little tax is payable. Intercompany charges — management fees, royalties, interest — are a further classification and documentation question. They are not described here as a planning technique.

Continuity

A company also needs someone who can act

If the founder is the only director and the only signatory, incapacity or death stops more than a tax analysis. Shareholder agreements, additional directors and a will of the shares are the documents to ask about. The wider handover is on the succession page.

Due diligence

Questions worth asking before a company is formed or moved

01Where is the company incorporated, and where is it managed?

Ask both. Company formation is an administrative act. Tax residence can depend on where decisions are actually made.

02Who are the directors, and where do they decide?

Ask where board meetings happen and where the real decisions are taken, not only what the register says.

03Who is the beneficial owner?

Ask who ultimately owns or controls the company when the shares sit with a nominee, another company or a trust.

04Could the company be tax resident where I live?

Ask whether management from your country of residence could move the company’s residence, under that country’s rules.

05Could a permanent establishment arise?

Ask whether a place, a person or a pattern of activity could create a taxable presence. It is a defined concept. This page does not apply it.

06Is a branch or a subsidiary the shape we actually have?

Ask which legal person signs the contracts and employs the staff. The label on a slide may not match the facts.

07What does a holding company change?

Ask what it owns, where it is managed, and what reporting it creates. Ownership through a holding company is not a tax result.

08Which bank will the company use, and what will the bank ask?

Ask about beneficial ownership, source of funds and which directors can instruct the account.

09Where are employees, and where is payroll?

Ask whether people working in a country create employment, payroll or a taxable presence there.

10What happens if I move and keep running the company?

Ask about your personal residence and the company’s residence as two files. Both may change.

11What must be reported?

Ask about accounts, beneficial-ownership registers, tax returns and any report of foreign entities where you are resident.

12Who can run the company if I cannot?

Ask about directors, shareholders and any agreement that passes control. That is a succession question as well as a tax one.

Watch for

Potential warning signs in structuring advice

  • A “zero tax company” offered before your facts are reviewed
  • Incorporation presented as if it were tax residence
  • A jurisdiction named before residence and management are discussed
  • Nominee arrangements with no explanation of who instructs them
  • No review of beneficial ownership
  • No discussion of management and control
  • No discussion of reporting
  • Pressure to incorporate quickly

A company does not reduce tax because it exists. Any tax consequence depends on the law, the facts and, where relevant, a treaty.

Compare company structuring providers

Different providers solve different parts of company formation and management

Company formation is the legal creation of an entity. Company structuring is the broader question of where it is formed, where it is managed, what substance it needs and how it remains compliant.

Compare international company-formation and corporate-services providers by entity formation, company secretarial support, registered office, local representation, directorship, accounting, tax compliance, banking support and multi-entity management.

A low-cost incorporation service and a global entity-management provider are very different propositions. Compare the service model before comparing price.

Common situations

When the company and the founder are in different places

  • Founder moves, company stays

Personal residence, and where decisions are now made.

  • Staff hired in a second country

Employment, payroll and a possible taxable presence.

  • A holding company above the operating company

An extra residence, extra reporting, and no automatic tax result.

About to form, move or keep running a company from another country?

Separate incorporation, management, operations and reporting before treating a structure as a tax answer.

WiT Access provides general information and comparison resources. Company formation, corporate governance, tax residence, licensing and compliance requirements vary by jurisdiction and business circumstances. Nothing on this page constitutes legal, tax, accounting, financial or investment advice.

Forming a company in a particular jurisdiction does not by itself determine where the company is tax resident.

Business-account approval is determined separately by the bank or payment provider. This page does not recommend a jurisdiction or a structure.
